These Terms of Use (or, the “Terms”) presented below are the basic rights and obligations that you and us have between us when you use our Services and outline the terms and conditions that govern your access to the AgriComm Bazaar web and mobile application (the “Application“) and use of services offered through our application (collectively, “Services”) and constitutes a binding legal agreement between you (“you”, “your” or “yours”) and Innani Agri Commodities Services Pvt. Ltd.(herein after referred to as “AgriComm Bazaar” / “we”/ “us”) (which expression shall include its successors and assigns).

When you use our Services, you also agree to the Terms and they affect your rights and obligations. You can choose not to enjoy the Services, if you don’t want these Terms to apply (and these Terms also include our Privacy Policy and other policies on our policies page, which are incorporated herein).

By downloading, installing or using our application and/or the Services, you signify your agreement to be bound by the Terms. Your continued use of our Application and/or the Services offered through our Application will imply your acceptance of the conditions contained under these Terms.

These Terms constitute an ‘electronic record’ within the meaning of the applicable laws and is generated by a computer system and does not require any physical or digital signatures.

Please read these Terms carefully before you use our application or any Service offered by us through our application. These terms control the relationship between AgriComm Bazaar and you. They do not create any third party beneficiary rights. Some features of our Services may be subject to additional terms and conditions, which you should read before making use of those features, and they add up to these Terms.

Access to and use of the entire AgriComm Bazaar ecosystem, including its website, mobile applications, digital products and services, plug-ins, etc., available on its platforms are governed by the terms and conditions set out herein below in this document (“Terms of Use” or “Terms”). These Terms of Use of AgriComm Bazaar include the terms and conditions relating to: (a) the access to and use of AgriComm Bazaar’s website and mobile application and the rules fort rading of agricultural commodities on AgriComm Bazaar’s online platform.

ABOUT AGRICOMM BAZAAR

AgriComm Bazaar is an online marketplace and B2B Trading Platform where registered buyers and sellers can trade agricultural commodities starting with Cotton Bales and Cotton Seeds. AgriComm Bazaar provides Platform (Web and/or App) wherein a seller can list customized trade parameters, adds a trade with all the parameters such as Quantity, Moisture, Oil Content, Damage, Grade, Rd, Mic, Trash, Staple length, strength,Delivery Days, etc. along with photo and/or video and enter a Spot rate they would like to sell at for agricultural commodities (or any other tradable goods which may be permitted by AgriComm Bazaar to be traded on the Platform). The Buyer on viewing all the Parameters can bid to the trade quoting their required quantity with the desired Rate. The entire process of sale and purchase is done via a broker or an intermediary listed on the platform selected by the Buyer. The Broker acts as a buffer and helps in quality and quantity check amongst other things as further defined under this Terms of Use.

CHAPTER I: GENERAL TERMS

 DEFINITIONS AND INTERPRETATION

Throughout these Terms, in all the Chapters, unless the context requires otherwise the following words and expressions shall have the following meanings:

  • Accountant means a sub account created by the users, i.e. Buyers or Sellers, having limited access as further defined in these terms.
  • Affiliates in relation to any person, such person’s officers, employees, directors, shareholders, parents, relatives, subsidiaries, holding companies, associates, agents, licensors, licensees and/or licensors.
  • ATIRA means Ahmedabad Textile Industry’s Research Association.
  • Appmeans the mobile application of AgriComm Bazaar available through Google Playstore and App Store, including any updates and version changes thereto, from time to time.
  • Bidder means, on a case by case basis, the Seller or the Buyer bidding or placing bids for an auction so listed on the Platform.
  • Broker means any person or entity listed so on the Platform and shall act as an intermediary for the trade between the Seller and the Buyer. The Broker shall be appointed by the Buyer for every trade from the list of brokers on the Platform.
  • Buyer means a User who lists on the Platform interested for buying Commodities;
  • CAI means Cotton Association of India.
  • Contract Confirmation means the terms of a trade agreed between a Buyer and a Seller.
  • FMD Rate means SPOT Rate + Tax + Vehicle Freight + and all other expenses till the vehicle is reached to the gateway of Buyers or Delivery Address mentioned by the Buyer.
  • FOR Rate means SPOT Rate + Tax + Vehicle Freight + and all other expenses till the vehicle is reached to the gateway of Buyers or Delivery Address mentioned by the Buyer.
  • Seller means a User who lists on the Platform for selling Commodities.
  • SITRA means South India Textile Research Association.
  • Working Day means a day (other than a Saturday, Sunday or a public holiday in the Republic of India) when banks are open for business.

2. USERS OF THE PLATFORM AND SERVICES AND USER ACCOUNT

2.1. Our Application and the Services can be accessed by you only by creating an account on the Application. Please ensure that the details you provide us are accurate and complete and inform us immediately of any changes to the information that you provided when signing-up. By using the Application, you agree to ensure confidentiality of your account, password credentials and for limiting access to your mobile device to prevent unauthorized use of your account on the Application, though the application strives its best to provide such security. You will be responsible for any activity under your account or password and for informing us immediately if you have any reason to believe that your account is being or likely to be used in an unauthorized manner. If you know or suspect that your username or password may have been compromised or made public, you shall notify AgriComm Bazaar immediately at the address specified below so that we may take any appropriate steps, including cancelling any compromised or potentially compromised username or password and providing new login details.

2.2. By using our Application and/or Services, you signify your assent to this Terms of Use and our Privacy Policy and that you consent to the collection, processing and use of data as described in our Privacy Policy. We may ask for additional consent from you for any additional data that we might need and also for any new features and/or services that we add.

2.3. To become a User and participate in the Platform and/or avail the Services, a person shall be required to submit specified details (as may be amended from time to time) to meet the registration requirements as listed on the Platform, which requirements shall include:

  • For individuals/proprietorship firms: a PAN card or an Aadhar card (as applicable), a contact number, an e mail address, copy of the GST registration certificate,and any other information or documents needed by us at the time of registration;
  • For incorporated/registered entities: a PAN card, details of the nature of the entity (e.g, LLP, company, etc.), copy of the GST registration certificate, copy of the certificate of incorporation or registration (as applicable), charter documents, address proof of the entity and contact number(s) of the entity registering to become a User.

2.4. Registration shall be completed and submitted only by an authorized representative or any other person with legal authority to bind the entity which is applying to become a User (“Authorized Representative”) and such persons shall be required to provide their name, Aadhar card copy or any government issued identity proof, contact number, e mail address and a copy of the authorizing board resolution, power of attorney or any other document on the letterhead of the entity conferring the authority on the individual to act on behalf of the entity in relation to the Platform and/or the Services.

2.5.In addition to the details required under clause 2.3 above, AgriComm Bazaar may require any individual or entity wishing to become a User for

(a) providing further documentation for ‘Know Your Customer’ purposes;

(b) verifying the existence and capacity of a corporate entity registering to become a User;

(c) verifying the authority of the Authorized Representative acting on behalf of the entity wishing to become a User.

2.6. AgriComm Bazaar shall have the sole and absolute discretion whether to accept an individual or corporate entity as a User. AgriComm Bazaar reserves the right to reject any application for registration, without giving reasons or cause. Further, AgriComm Bazaar reserves the right to deny any User access to the Platform and/or the Services, without giving reasons or cause.

2.7. On receipt of all the details required under clause 2.3 and clause 2.4 above to the satisfaction of AgriComm Bazaar, and always subject to AgriComm Bazaar’s rights under clause 2.6 above, a User Account would be created for the User and the User would be free to Create an available Username and Password to access their Account.

2.8. The Users may further create Sub Account for their Accountants within their Account. The said Sub Account shall not have the complete access as the Users but only limited access as defined by the Company. The User themselves shall solely be responsible for any activity under such sub accounts created for the Accountants.

2.8. By registering with the Platform, each User represents and warrants that:

2.8.1. in case of individuals, you are over 18 years of age;

2.8.2. you have the authority and/or the relevant authorizations required to register and operate on the Platform and/or avail the Services, as applicable;

2.8.3. you have complied, and shall continue to comply, with all applicable law to access and use the Platform and/or avail the Services; and

2.8.4. any information provided by you is true, accurate, correct, complete and not misleading.

2.9. By using the Services, you agree that:

  • You will not create or use multiple accounts to evade our policies or bypass any blocks or otherwise to subvert any restrictions placed on your account. For example, if you have been blocked by another user or your account has been suspended for abuse, you will not create a replacement account that engages in similar activity.
  • You will not use our Services to mislead or confuse users by pretending to be someone else or pretending to represent an organization you do not represent.
  • You will not spam other users, including by sending unwanted promotional or commercial content, or unwanted or mass solicitation.
  • You will not use our services to conspire, plan and engage in any criminal activities.
  • You will not buy, sell, rent, or lease access to your AgriComm Bazaar account to anyone.

3. CONTENT ON THE PLATFORM AND/OR RELATING TO THE SERVICES

3.1. User Content, whether publicly posted or privately transmitted, is the sole responsibility of the Users who originate such User Content. You understand and acknowledge that you are solely responsible for any User Content you provide to or use on the Platform and for any consequences thereof.AgriComm Bazaar is under no obligation to review or monitor any User Content, although we may do so from time to time at our sole discretion. AgriComm Bazaar has no obligation to protect any User Content.

3.2. You agree, represent and warrant that your User Content does not infringe the intellectual property rights, privacy rights, publicity rights or other legal rights of any third party.

3.3. Other than User Content, AgriComm Bazaar owns, or holds licenses to, all rights, title, and interest in the Intellectual Property in relation to the Platform and/or Services.

3.4. Our Intellectual Property relating to the Platform and the Services are all protected under the applicable copyright, trademark and other applicable laws. All rights in relation to our Intellectual Properties are reserved. You shall not duplicate, copy, or reuse our Intellectual Property, or any portion of the HTML/CSS, JavaScript source code, programming or visual design elements or concepts without express written permission from AgriComm Bazaar.

3.5. The Platform and/or any portal where any of the Services are provided by AgriComm Bazaar may include advertisements, which may be targeted to the content or information on the Platform (including User Content), questions raised through the Platform and/or while using the Services or any other information in relation thereto. The types and extent of advertising by AgriComm Bazaar on the Platform are at the sole discretion of AgriComm Bazaar and are subject to changes from time to time.

3.6. AgriComm Bazaar shall have the right:

3.6.1 to block, remove or refuse to distribute any content or User Content for any reason or no reason in our sole discretion;

3.6.2 to take any action with respect to any content or User Content that we deem necessary or appropriate in our sole discretion, including if we believe that such content or User Content:

(a) violates these Terms;

(b) it infringes any Intellectual Property right or other right of any person or entity;

(c) threatens the personal safety of the Users of the Platform and/or the Services or the safety and security of the general public; or

(d) creates any liability or threatens to create any liability for AgriComm Bazaar;

3.6.3 subject to the terms of our Privacy Policy and any applicable law to disclose any information provided by a User to AgriComm Bazaar, including any personal information, to any third party who claims that User Content provided by you has violated that third party’s rights, including that third party’s intellectual property rights or its right to privacy, provided that we shall send prior notification to the User if practicable;

3.6.4 to take any appropriate legal action, including disclosing your personal information or other information about you to any law enforcement body, government department, court of law, regulatory agency, tribunal or any law enforcement or government official, in respect of any suspected illegal or unauthorized use of the Platform and/or the Services;

3.6.5 to terminate or suspend your access to all or part of the Platform and/or the Services, and to reclaim and redistribute usernames, for any or no reason, including without limitation, for any violation of these Terms;

3.6.6 without prejudice to the above, to fully cooperate with any law enforcement or regulatory authority or court order requesting or directing AgriComm Bazaar to disclose the identity, or other information, of anyone posting or distributing any User Content on or through the Platform and/or the Services. We also reserve the right to access, review, monitor, display, read, preserve, store and disclose any information and any User Content as we reasonably believe is necessary or appropriate to:

(i) satisfy any applicable law, regulation, legal processor governmental request;

(ii) investigate potential violations of and/or enforce these Terms;

(iii) detect, prevent, or otherwise address fraud, security or technical issues, or

(iv) protect the rights, property or safety of any Users, AgriComm Bazaar or any third parties.

3.6.7 You waive and hold harmless AgriComm Bazaar and/or its affiliates from any claims resulting from any of the actions or activities listed in this clause, or action we or our affiliates take during or as a result of any investigations.

3.7. Upon Deletion of Your Account: Subject to applicable laws, upon deletion of the AgriComm Bazaar account, AgriComm Bazaar will immediately delete all your Content from its database and servers, except to the extent required to be retained by applicable law. For the avoidance of doubt, it is clarified that any part of your Content shared by you and stored by your contacts/ friends/connections locally on their devices may remain even after you delete your account till it is deleted by such contacts. Similarly, any part of your Content, which is publicly available to other users of AgriComm Bazaar and stored by the other users may remain after you delete your account till it is deleted by such contacts.

3.8. Automatic Deletion of Content: If you stop using AgriComm Bazaar and remain inactive for at least One year, AgriComm Bazaar reserves the right to delete all your information stored on AgriComm Bazaar servers.

4. UPDATES TO TERMS

We are always working on adding new features to our Services, and because of that, and also due to applicable changes is law, we may revise and reissue these Terms occasionally, by posting updated Terms. You consent and agree to receive notices of updates of these Terms through our posting of updated Terms on the Services. You should visit this page regularly to review the current Terms. If you do not agree to updated Terms, you should stop using our Services and/or close your account. Your continued use of any of our Services will be deemed as your acceptance of any revisions.

5. ONLINE PRIVACY

Your privacy is important to us. Any information (including your personal information and/or sensitive personal data or information) provided by you on the Application will be collected, stored, processed, transferred or shared by us in accordance with our Privacy Policy. So, to better protect your privacy, we provide notices explaining our information practices and the choices you can make about the way your information is collected and used at our Services. 6. LICENSE

6.1 Ownership: All content related to AgriComm Bazaar corporate and business activities embedded in the Application, including any text, graphics, logos, button icons, images, audio clips and software, our application, services and any other materials incorporated by us on our Application and services (“Material”) is the exclusive property of AgriComm Bazaar or its licensors and are protected by applicable laws and copyrights, patents, trade secrets or such other proprietary rights (“Copyrights”). Some of the characters, logos, or other images incorporated by us in our Services are also protected as registered or unregistered trademarks, trade names, and/or service marks owned by us or others (“Trademarks”). AgriComm Bazaar or its licensors own the title, copyright, and other intellectual property rights in the Material and Service, and by using our Services, you do not acquire any ownership rights in Service or Materials contained therein. We respect the intellectual property rights of others and asks users of our application and services to do the same.

6.2 License: Subject to these Terms, AgriComm Bazaar grants you a limited, personal, non-assignable, non-transferable, non-exclusive, revocable, and non-sub licensable license to use and/or access the Application or Services (including the content made available through the Application or Services) provided that: (a) you will use the Application and/or Services solely for lawful purposes only; (b) you will not, nor allow third parties on your behalf to reproduce, reverse engineer, duplicate, copy, sell, create derivative works or otherwise exploit for any commercial purpose the Application (including its content) and/ or Services; (c) you will not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including without limitation images, text, page layout, or form); and (c) you will not use any meta-tags or any other ‘hidden text’ utilizing AgriComm Bazaar’s name or trademarks. Any unauthorized use of the Application and/or Services terminates the permission or revokes the license granted herein

7. TRADING OF COMMODITIES

The Trading of Commodities between the Users along with the Brokers shall be Governed by these terms and more specifically defined in Chapter II of these terms.

8. LINKS

8.1. The Platform and the Services may contain links to other websites and online resources provided by third parties. A link to a third party’s website is provided for information only and it does not mean that we approve, endorse or are affiliated to that website/portal or approve of the information contained therein. We have no control over and are not responsible for the content of such websites/portals or any information provided by third parties. We shall not be liable for any damage or loss caused to you or your business, from your use of any third-party websites, portals or information. You shall be responsible for always reading the terms and conditions and the privacy policy of such a third-party websites or portals, before using them.

9. TERMINATION

9.1. Use of the Platform and/or the Services is a privilege. We may decline to register you as a User, terminate your registration and/or restrict your access to or usage of the Platform and/or the Services (including via any other aliases you use) at any time at our complete and sole discretion without consulting with you. We consider the following as grounds for refusal of access or use of the Platform:

9.1.1 if complaints are received about you;

9.1.2 if you breach these Terms and/or any other AgriComm Bazaar policies;

9.1.3 if you violate or threaten to violate any law;

9.1.4 if you cause or threaten to cause harm to public order, health and safety of the general public or of AgriComm Bazaar employees or other Users;

9.1.5 if you cause or threaten to cause harm to AgriComm Bazaar’s business, the Platform or the quality of the Services;

9.1.6 any other reason in the reasonable assessment of AgriComm Bazaar.

9.2. We reserve the right to not provide you with access to the Platform and/or the Services. We also reserve the right to terminate any User’s right to access the Platform and/or the Services at any time, at our sole discretion, if you violate any of these Terms and/or AgriComm Bazaar’s policies. Further, if we receive complaints about you, we may terminate your registration and your ability to use the Platform and/or Services, at our sole discretion.

9.3. You may end this legally enforceable agreement with AgriComm Bazaar at any time for any reason, by

(a) discontinuing the use of the Platform and/or Services,

(b) informing AgriComm Bazaar about such discontinuation, and

(c) requesting us to delete your account by sending an e mail or a letter at the contact details of AgriComm Bazaar set out in these Terms.


10. INDEMNITY

10.1. At any time after your registration, including after the termination of your registration with AgriComm Bazaar for cause, you agree to indemnify and hold harmless AgriComm Bazaar, its employees and its Affiliates, from and against any and all claims, costs, proceedings, demands, losses, damages, and expenses (including, without limitation, attorney’s fees, and legal costs) of any kind or nature, arising from or relating to:

10.1.1 any actual or alleged breach of these Terms by you or anyone using your account;

10.1.2 your use of the Platform and/or the Services;

10.1.3 the content of your uploaded information;

10.1.4 the negotiation, performance or enforcement of any contract or agreement or understanding between you and other Users via the Platform or through the use of our Services;

10.1.5 the transfer of Commodities and/or money between you and another User.

10.2. The rights and remedies of AgriComm Bazaar, its employees and/or its Affiliates, in respect of any breach of these Terms, shall not be affected by any act or happening which otherwise might have affected such rights and remedies, except by a specific written waiver by AgriComm Bazaar, its employees and/or its Affiliates.

10.3. The rights of indemnification of AgriComm Bazaar, its employees and/or its Affiliates here under shall be in addition to all other rights available to AgriComm Bazaar, its employees and/or its Affiliates in law, equity or otherwise, including without limitation rights of specific performance, recession and restitution.

10.4. The Users shall not pursue any claim, seek damages, reimbursements or contribution from AgriComm Bazaar, its employees and/or its Affiliates, in respect of any claim costs, proceedings, demands, losses, damages, and expenses (including, without limitation, reasonable attorney’s fees, and legal costs) of any kind or nature, arising from or relating to the actions of other Users or from their dealings with other Users.

11. DISCLAIMERS

11.1. The Platform and/or Services are provided on an “as is” and “as available” basis. To the extent permitted by any applicable law, AgriComm Bazaar, its employees, directors and affiliates disclaim all warranties, conditions, and representations of any kind whatsoever, whether express, implied, statutory, or otherwise, including those relating to merchantability, fitness for a particular purpose, non-infringement and all warranties, conditions, and representations arising out of course of dealing or usage of trade.

11.2. All information provided on the Platform and/or via the Services is for general information purposes only. The information should not be interpreted as individualized advice, investment recommendation and/or farming or agriculture consultation. AgriComm Bazaar does not offer investment, farming, or business advice or consultations. None of the information found on the Platform, and/or on any of the portals through which any of the Services are provided, should be considered a recommendation, sponsorship, endorsement or any business of any nature and/or any financial derivative of any nature.

11.3. AgriComm Bazaar shall use all reasonable endeavours to ensure that all material and information presented on the Platform, and/or via the portals through which Services are provided, is taken from sources believed to be reliable and all information is presented in good faith, however AgriComm Bazaar makes no warranty or representation, either expressed or implied, in relation to the correctness, completeness, or accuracy of such information or material.

11.4.AgriComm Bazaar will have no liability for any:

11.4.1 errors, mistakes, or inaccuracies of content; on the Platform or in relation to the Services;

11.4.2 negligence, breach of contract, warranties, errors, mistakes, or omission of the Users;

11.4.3 injury (personal or otherwise), property damage or loss of data resulting from your access to or use of the Platform and/or the Services;

11.4.4 unauthorized access to or use of the Platform, the Services, our servers or of any personal information, auction data, or User Content;

11.4.5 interruption of transmission to or from the Platform or via the Services, or any deletion of or failure to store or transmit any content or communications;

11.4.6 bugs, viruses, trojan horses, or similar which may be transmitted on or through the Platform or via the services by any third party;

11.4.7 failure of the Platform and/or the Services to meet User expectations or requirements; or

11.4.8 loss or damage of any kind incurred as a result of the use of any content posted or shared through the Platform or the Services. You understand and agree that any material or information downloaded or otherwise obtained using the Platform and/or the Services is done at your own risk and that you shall be solely responsible for any damage arising from doing so. No advice or information, whether oral or written, obtained by you from AgriComm Bazaar or through the Platform and/or the Services will create any warranty not expressly made in these Terms.

11.5. To the extent permitted by law, under no circumstances AgriComm Bazaar will be liable to you or to any third party for any indirect, special, incidental, punitive, or consequential loss or damages (including for any loss of profits, good will revenue, or data) or for the cost of obtaining substitute products or services or for any cost or liability arising out of or in connection with these Terms, the Platform and/or the Services, how so ever caused, whether such liability arises from any claim based upon contract, warranty, tort, including negligence, breach of statutory duty or otherwise, and whether or not AgriComm Bazaar has been advised of the possibility of such loss or damages.

11.6. To the extent permitted by law, our total cumulative liability to you or any third party arising out of or in connection with these Terms, the Platform and/or the Services, from any and all causes of action claims (including contract, warranty, tort, negligence, breach of statutory duty or otherwise), will be limited to and will not exceed the fees you have actually paid to AgriComm Bazaar during the 6 months preceding the claim giving rise to such liability, to a maximum of Rs. 1,00,000 (Rupees One Lakh only).

  1. THIRD-PARTY FEES
    11.1. You may incur fees or charges for accessing or using data or services from third parties (such as your internet provider or mobile carrier) in connection with your use of the Platform, the Services or the content. You shall be responsible to pay for all such fees.


12. GOVERNING LAW AND JURISDICTION
12.1. If any dispute, controversy or claim arises out of or in connection with these Terms, including any question regarding its existence, validity or termination arising out of or in connection with this Terms (a “Dispute”), AgriComm Bazaar and the User shall use all reasonable endeavours to resolve the matter amicably.

12.2. All Disputes, which are unresolved pursuant to the preceding Clause and which a party wishes to have resolved, shall be referred upon the application of either party to and finally settled in accordance with the rules of the Arbitration and Conciliation Act, 1996 and amendments thereto, unless otherwise specified in these Terms, (the “Rules”) in force at the date on which these Terms were published, which Rules are deemed to be incorporated by reference to this clause. The number of arbitrators shall be three (3). One (1) arbitrator shall be appointed by the User and one (1) arbitrator shall be appointed by AgriComm Bazaar, and together the two (2) arbitrators so appointed shall appoint the third (3rd) arbitrator. No officer, director, shareholder, employee, representative or relative or related party of any party may be nominated or appointed as an arbitrator.

12.3. The seat of the arbitration shall be Bangalore, unless otherwise specified in the Service Agreement or the Contract Note. The language of this arbitration shall be English.

12.4. Any award of the arbitrator or arbitral tribunal, as the case may be, pursuant to this Clause shall be in writing and shall be final, conclusive and binding upon the parties.

12.5. Subject to the remaining provisions of these Terms, the parties agree that the courts in Bangalore, unless otherwise specified in the Service Agreement or the Contract Note, shall have jurisdiction with respect to any judicial proceedings ancillary to any arbitration hereunder, including but not limited to any proceeding to compel arbitration, to obtain interim relief in aid of arbitration, or to determine the validity and enforce ability of any award, and each of the parties irrevocably submits to such non-exclusive jurisdiction. Not with standing the above, application may be made by any party to any court having jurisdiction wherever situated for enforcement of any award or judgment or the entry of whatever orders are necessary for such enforcement.

12.6. Not with standing anything to the contrary herein, nothing in this Clause shall prevent AgriComm Bazaar from seeking interim or permanent injunctive relief or taking any other action in any court to enforce or protect its Intellectual Property rights, including but not limited to any action for money damages and/or equitable relief, including but not limited to injunctive relief.


13. OTHER PROVISIONS

13.1. These Terms (together with the AgriComm Bazaar’s Privacy Policy, the Contract Note between Buyers and Sellers and any other agreements to be added by AgriComm Bazaar and any other policies we publish) constitute the entire agreement and understanding between you and AgriComm Bazaar, relating your access to and use of the Platform and/or Services, and they collectively supersede all prior understandings, communications or agreements, written or oral, between you and AgriComm Bazaar on your use of the Platform and/or the Services.

13.2. You acknowledge that in accepting and agreeing to the Terms, you have not relied on, and shall have no remedy in respect of, any statements, assurance, representation, or warranty (whether of fact or of law and whether made innocently or negligently) made other than as set out in these Terms and/or any other AgriComm Bazaar policy.

13.3. Under no circumstances shall AgriComm Bazaar be held liable for any delay or failure in performance due, in whole or in part, to any acts of nature or other causes beyond our reasonable control.

13.4. The failure by AgriComm Bazaar to enforce any right or provision of these Terms shall not prevent AgriComm Bazaar from enforcing such right or provision in the future.

13.5. A waiver of any of these Terms will only be effective if it is in writing and signed by an authorized representative of AgriComm Bazaar. No delay, omission or indulgence shall constitute a waiver of AgriComm Bazaar’s rights under these Terms.

13.6. If any provision of these Terms is found to be unlawful, illegal, void, invalid or unenforceable (in whole or in part), then that provision will be deemed severable from these Terms and shall not affect the enforceability of any other provisions, and the remainder of these Terms shall continue in full force and effect.

13.7. You shall not assign, transfer or novate your rights or obligations under these Terms to third parties, save without the written consent of AgriComm Bazaar, which consent may be withheld for any or no reason at our sole discretion.

13.8. A person who is not a party to any agreement made under these Terms shall have no right under these Terms.

14. COMMUNICATIONS

14.1. AgriComm Bazaar may communicate with you through e-mail, SMS, telephone, whatsapp, by posting notifications on the Application (including push notifications) or any other means of communication. By using the Application, you consent to receive such communications from AgriComm Bazaar in relation to the Application and/or Services, your account information or any updates/ changes to the Application/ Services and/ or other promotional or marketing communications from AgriComm Bazaar.

14.2. Any notice or other communication to be given or served under, or in connection with, these Terms shall be in English and in writing. Notice given by personal service or express courier service shall be deemed effective on the date it is delivered to and received by AgriComm Bazaar, and notice sent by postal service shall be deemed effective on the third day following its placement in the mail box addressed to AgriComm Bazaar. Notice sent by electronic mail shall be deemed to be effective on the next Working Day.

CHAPTER II: TRADING RULES & SETTLEMENT PROCEDURE

Trading Rules & Settlement Procedure are Part of Terms of Use Please read the document carefully. On accepting the Terms of Use you are binded with the Trading Rules & Settlement Procedure.


CHAPTER III: MISCLLANEOUS

1. FORCE MAJEURE
AgriComm Bazaar will not be liable to you for any eventuality caused directly or indirectly by any act of God, wars (declared or undeclared), insurrections, acts of terrorism, pandemic, labor disputes, strikes, riots, internet failure, war or other unanticipated occurrences, problems , governmental requirements or restrictions or other events of a magnitude or type of which precautions are generally not taken in the industry and circumstances which shall materially and adversely affect the performance of the obligations of either party and is not caused by an act of negligence or default of, lockouts and other civil unrest, or any act of similar nature beyond AgriComm Bazaar’s reasonable control.

In case of instances of lag and/or outage and/or bugsand/or  hacking of the application, all contracts set between the Buyers the Sellers shall be null & Void from the time of such instance till the restart of the system or till such time such instance has been resolved.

2. ENTIRE AGREEMENT
You agree that these Terms read with the terms of the Privacy Policy and/or any other terms/ policies relating to the Application and/or Services posted by AgriComm Bazaar on the Application will constitute the complete agreement between you and AgriComm Bazaar and supersedes any and all proposals, representations or prior agreements, oral or written, and any other communications between you and AgriComm Bazaar relating to the subject matter of these Terms.

3. SEVERABILITY
If one or more provisions of these Terms are held to be unenforceable under applicable law(s), the remainder of these Terms will be valid and enforceable.

4. WAIVER
If you breach these Terms and AgriComm Bazaar takes no action, we will still be entitled to use our rights and remedies in any other situation where you breach these Terms.

5. GOVERNING LAW
These Terms are governed by the laws of India. You irrevocably consent to the exclusive jurisdiction of courts of at Bangalorefor all disputes arising out of or relating to these Terms.

6. RIGHT TO TAKE DOWN
You agree that AgriComm Bazaar may takedown, delete or remove any content available on the Application in its sole discretion, without any notice to you, for any reason whatsoever including on account of your violation of these Terms or if required in accordance with applicable laws.

7. FORFEITURE
AgriComm Bazaar reserves the right to forfeit any account which AgriComm Bazaar determines as – inactive, violative of intellectual property rights, violative of these Terms or misleading in nature.

In the event you read these terms in any language other than English, you agree that in the event of any discrepancies, the English version shall prevail.
